(the “Company”) (NASDAQ:KLXI), a leading distributor and value added service provider of aerospace fasteners and consumables, and a provider of services and products to the oil and gas exploration and production industry announced today that in response to inquiries from interested parties, it has initiated a formal process to explore strategic alternatives for the Company focused on maximizing shareholder value. Such strategic alternatives could include, amongst others, a sale of the Company or a sale of a division or divisions thereof, a business combination or continuing as a standalone entity executing on its business plan. The Company has retained Goldman Sachs & Co. as financial advisor and Freshfields Bruckhaus Deringer US LLP as legal advisor to assist in its review.

The Company has not set a definitive timetable for completion of its review of strategic alternatives and there can be no assurances that the process will result in any transaction being announced or completed in the future. The Company does not intend to make any further announcements related to its review unless and until its Board of Directors has approved a specific transaction or otherwise determined that further disclosure is appropriate.
