The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that there were significant structural problems with the trial design for Tokai’s pivotal Phase 3 galeterone study, ARMOR3-SV. Consequently, ARMOR3-SV was unlikely to succeed in meeting its primary endpoint and, as a result, commercialization of galeterone was less likely and/or imminent than Tokai had led investors to believe.
According to the complaint, following a November 2, 2015 article describing the structural problems with the design of ARMOR3-SV and stating that it would fail in Phase 3, and a July 26, 2016 announcement of plans to discontinue ARMOR3-SV, the value of Tokai shares declined significantly.
