TYLER, Texas, Sept. 14, 2016 -- Southside Bancshares, Inc. (NASDAQ:SBSI) (“Southside” or the “Company”), the holding company for Southside Bank, today announced the pricing of its public offering of $100 million aggregate principal amount of its Fixed-to-Floating Rate Subordinated Notes due 2026 (the “Notes”). Due to market demand, Southside increased the aggregate principal amount of the Notes to $100 million from the previously announced amount of $75 million. The Notes will mature on September 30, 2026. From and including the date of issuance to, but excluding September 30, 2021, the Notes will bear interest at an initial rate of 5.50% per annum, payable semi-annually. From and including September 30, 2021 to, but excluding the maturity date or the date of earlier redemption, the interest rate will reset quarterly to an annual interest rate equal to the then-current three-month LIBOR rate plus 4.297%, payable quarterly in arrears. The Notes will be issued at a price of 100% of par.
The Company intends to use the net proceeds from the offering for general corporate purposes, which may include advances to subsidiaries to finance their activities. The offering is expected to close on September 19, 2016, subject to customary closing conditions.
