The complaint alleged that the Proxy Statement filed by Time Warner concerning its proposed merger with AT&T was materially deficient and misleading because it failed to disclose material information regarding GAAP reconciliation of certain non-GAAP financial metrics included in the Company’s financial projections. The complaint further alleged that, as a result of the misleading Proxy, stockholders lacked material information necessary for an informed vote on the proposed transaction. Time Warner filed corrective disclosures with the United States Securities and Exchange Commission on a Form 8-K on February 3, 2017 to address and moot the alleged misrepresentations and omissions. The vote is scheduled for February 15, 2017.
