The lawsuit focuses on whether the Company and its executives violated federal securities laws by failing to maintain effective internal control over financial reporting and by releasing misguided financial statements.
Specifically, on November 7, 2016, the Company filed a Form 8-K with the Securities Exchange Commission stating that Company’s audited financial statements for the fiscal year ended December 31, 2015, and the Company’s unaudited financial statements for each of the fiscal quarters ended March 31, 2015 through June 30, 2016, should no longer be relied upon. The Company claimed that these statements contained an overstatement of estimated accounts receivable collections which in turn overstated revenues.
After the announcement, InfuSystem’s share price fell from $ 2.60 per share on November 4, 2016 to a closing price of $1.60 on November 7, 2016—a $1 or a 38.5% drop.
