(“Remington”) had no interest in Global Digital's unsolicited acquisition offer; (6) Remington had already rejected Global Digital's offer on several occasions; and (7) as a result, Global Digital's statements about its business, operations and prospects were materially false and misleading and/or lacked a reasonable basis.
