EL SEGUNDO, Calif., March 30, 2016 -- Landmark Infrastructure Partners LP (Nasdaq: LMRK) (the “Partnership”) announced today that it has priced its underwritten public offering of 800,000 of its 8.00% Series A Cumulative Redeemable Perpetual Preferred Units (Liquidation Preference $25.00 per Unit) representing limited partner interests in the Partnership (“Series A Preferred Units”) at a public offering price of $25.00 per Series A Preferred Unit. The underwriters have a 30 day option to purchase up to 120,000 additional Series A Preferred Units. Distributions will be payable on the Series A Preferred Units at a rate of 8.00% per annum of the stated liquidation preference of $25.00 per Unit. The offering is expected to close on or about April 4, 2016, subject to customary closing conditions.
The Partnership expects to receive net proceeds of approximately $18.8 million (or approximately $21.7 million if the underwriters exercise in full their option to purchase an additional 120,000 Series A Preferred Units) and intends to use the net proceeds from the offering to repay indebtedness.
