Houston, TX, Feb. 16, 2017 -- Halcón Resources Corporation (NYSE:HK) (“Halcón” or the “Company”) announced today the results of its previously announced cash tender offer for any and all of its outstanding $700 million in aggregate principal amount of 8.625% Senior Secured Notes due 2020 (the “2020 Notes”), which expired at 5:00 p.m., New York City time, on February 15, 2017. Pursuant to the tender offer, Halcón has received $289.2 million or approximately 41% of the outstanding aggregate principal amount of the 2020 Notes which were validly tendered (and not validly withdrawn), excluding $2.1 million aggregate principal amount of the 2020 Notes that remain subject to guaranteed delivery procedures. Subject to the conditions specified in the offer to purchase, including the closing of the Company’s previously announced debt financing transaction, the Company expects to accept all such 2020 Notes validly tendered and not validly withdrawn in the tender offer and to make the payment therefor on February 16, 2017, or with respect to notes tendered pursuant to the guaranteed delivery procedures, on February 21, 2017.
JPMorgan Securities acted as dealer manager in connection with the tender offer and U.S. Bank National Association served as depositary and information agent for the tender offer.
