SHANGHAI, China, Jan. 23, 2018 -- GDS Holdings Limited (“GDS” or the “Company”) (Nasdaq:GDS) today announced that it intends to offer and sell 8.0 million American Depositary Shares (“ADSs”), each representing eight of its Class A ordinary shares, and entities affiliated with SBCVC Holdings Limited (“SBCVC”), one of GDS’s major shareholders, intend to offer and sell 1.5 million ADSs, subject to market and other conditions, in an underwritten public offering. The underwriters will have a 30-day option to purchase up to an additional 1,425,000 ADSs from SBCVC.
GDS expects to use the net proceeds from the proposed offering in connection with the development and acquisition of new data centers and for other general corporate purposes. GDS will not receive any proceeds from the sale of the ADSs to be offered by the selling shareholders.
RBC Capital Markets, J.P. Morgan and Citigroup are acting as joint book-running managers for the proposed offering, and Cowen, Guggenheim Securities, and Raymond James are acting as co-managers.
