Cleveland, OH, April 04, 2018 -- American Greetings Corporation (“American Greetings” or the “Company”) today announced that it is extending the expiration time of the previously announced tender offer (the “Tender Offer”) for any and all of its 7.875% Senior Notes due 2025 (the “Notes”) set forth in the offer to purchase (the “Offer to Purchase”) and the related letter of transmittal (the “Letter of Transmittal”), each dated February 27, 2018. The “Expiration Time” applicable to the Tender Offer, previously scheduled for 5:00 p.m., New York City time, on April 3, 2018, has been extended to 5:00 p.m., New York City time, on April 4, 2018, unless further extended or earlier terminated.
Holders are urged to read the Offer to Purchase and the Letter of Transmittal carefully. Except as described in this press release, all terms and conditions of the Tender Offer as described in the Offer to Purchase and Letter of Transmittal are unchanged. The Tender Offer is subject to certain conditions as described in the Offer to Purchase and the Letter of Transmittal. The Company may, in its sole discretion, terminate, extend or amend the Tender Offer at any time as described in the Offer to Purchase and Letter of Transmittal.
As of 5:00 p.m., New York City time, on April 3, 2018, $377,411,000 aggregate principal amount of the Notes were validly tendered (and not validly withdrawn) in the Tender Offer.
