CALGARY, Alberta, March 23, 2018 -- Parkland Fuel Corporation (“Parkland”) (TSX:PKI), North America's fastest growing independent marketers of fuel and petroleum products, announced today the closing of its previously announced private offering (the “offering”) of US$500 million aggregate principal amount of senior unsecured notes due 2026 (the “notes”). The notes bear interest at a rate of 6.0% per annum and were priced at par. Parkland intends to use the net proceeds from the offering to repay certain outstanding amounts borrowed under its credit facility.
The notes have been offered and sold only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the U.S. Securities Act of 1933, as amended (the “Securities Act”) and sold outside the United States pursuant to Regulation S under the Securities Act. The notes have not been registered under the Securities Act or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
