Alliqua BioMedical, Inc. Announces Proposed Public Offering of Common Stock

YARDLEY, Pa., March 28, 2017 -- Alliqua BioMedical, Inc. (Nasdaq:ALQA) ("Alliqua" or "the Company"), a regenerative technologies company committed to restoring tissue and rebuilding lives, today announced that it intends to offer and sell, subject to market and other conditions, shares of its common stock in an underwritten public offering. Alliqua also expects to grant the underwriter a 30-day option to purchase additional shares of its common stock to cover over-allotments, if any.

Rodman & Renshaw, a unit of H.C. Wainwright & Co., is acting as the sole underwriter for the offering. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

The Company intends to use the net proceeds from this offering primarily for working capital and general corporate purposes, and to pay the Company’s monthly payment obligations under its credit agreement with Perceptive Credit Opportunities Fund, L.P.

A shelf registration statement on Form S-3 relating to the public offering of the shares of common stock described above was filed with the Securities and Exchange Commission ("SEC") and was declared effective on September 25, 2014. A preliminary prospectus supplement describing the terms of the offering will be filed with the SEC and will form a part of the effective registration statement.
