WILMINGTON, N.C., Aug. 09, 2017 -- Live Oak Bancshares, Inc. (Nasdaq:LOB) (“Live Oak” or “the Company”), parent company and registered bank holding company of Live Oak Banking Company (the “Bank”), today announced that it has priced an underwritten public offering of 4,500,000 shares of its voting common stock at a price of $23.00 per share for aggregate gross proceeds of approximately $103.5 million. Net proceeds after underwriting discounts and commissions and expenses of the offering are expected to be approximately $98.3 million. The company also has granted the underwriters a 30-day option to purchase up to an additional 675,000 shares, which would result in additional net proceeds of approximately $14.8 million, if exercised in full. The Company intends to use the net proceeds from the offering to make investments in the Bank and in its nonbank subsidiaries, to enhance its capital position and that of the Bank, and for general corporate purposes. The offering is expected to close on or about August 14, 2017, subject to satisfaction of customary closing conditions.
