OVERLAND PARK, Kan., July 21, 2017 -- Ferrellgas Partners, L.P. (NYSE:FGP) and Ferrellgas Partners Finance Corp. announced today that they have commenced an exchange offer for up to $175 million aggregate principal amount of their 85/8% Senior Notes due 2020 (the “New Notes”) that have been registered under the Securities Act of 1933, as amended (the “Act”), for an equal amount of their outstanding 85/8% Senior Notes due 2020 (the “Old Notes”). The exchange offer will expire at 5:00 p.m. (New York City time) on August 18, 2017, unless extended.
The New Notes will have terms that are identical in all material respects to the terms of the Old Notes, except that the New Notes will be registered under the Act and will not have any of the transfer restrictions, registration rights or provisions for additional interest relating to the Old Notes. Ferrellgas will not receive any cash proceeds from the exchange offer.
