STEVENSON, Md., March 07, 2018 -- The securities litigation law firm of Brower Piven, A Professional Corporation, announces that a class action lawsuit has been commenced in the United States District Court for the Eastern District of New York on behalf of purchasers of Synergy Pharmaceuticals Inc. (Nasdaq:SGYP) (“Synergy” or the “Company”) securities during the period between September 5, 2017 and November 14, 2017, inclusive (the “Class Period”). The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that the loan from CRG Partners III L.P. (“CRG Loan”) did not fund Synergy’s operations through 2019, that the Company could not access the second tranche of $100 million financing on or before February 28, 2018 without issuing dilutive equity, and that the Company could not access the third tranche of the CRG Loan if and when needed because terms were required to be met in order to access those tranches.
According to the complaint, following a November 9, 2017 disclosure of the true terms of the CRG Loan and their effect upon Synergy’s financial condition, the value of Synergy shares declined significantly.
