According to the complaint, following a February 21, 2017 announcement that the Company’s Chief Executive Officer and the Chief Financial Officer resigned and that it would file its Annual Report with the U.S. Securities and Exchange Commission late due to the complexity of the EMC acquisition, the need to transition the finance department, and because of the Company’s material weaknesses in internal controls, the value of Global Eagle shares declined significantly.
