Los Angeles, California, March 01, 2018 -- Ritter Pharmaceuticals, Inc. (NASDAQ: RTTR) (“Ritter Pharmaceuticals” or the “Company”), a leading developer of novel therapeutic products that modulate the gut microbiome to treat gastrointestinal diseases with an initial focus on establishing the first FDA-approved treatment for lactose intolerance, today announced that its Board of Directors (the “Board”) has set a ratio of 1-for-10 for its previously approved reverse stock split of its common stock, and an anticipated effective date for the reverse stock split of on or before March 23, 2018. The reverse stock split was approved by the Company’s stockholders at its special meeting of stockholders on December 20, 2017, where the Company’s stockholders granted to the Board the authority to amend the Company’s Amended and Restated Certificate of Incorporation, as amended, to effect a reverse stock split of the outstanding shares of the Company’s common stock, at a ratio of 1-for-8 to 1-for-15, as determined by the Board.
No fractional shares will be issued as a result of the reverse stock split. Stockholders who otherwise would be entitled to receive a fractional share in connection with the reverse stock split will receive a cash payment in lieu of such fractional share. Corporate Stock Transfer, Inc. will act as exchange agent for the reverse stock split.
