ENGLEWOOD CLIFFS, N.J., Dec. 14, 2016 -- ConnectOne Bancorp, Inc., (NASDAQ:CNOB), the holding company for ConnectOne Bank, today announced the pricing of its previously announced underwritten public offering of 1,443,299 shares of its common stock at a price to the public of $24.25 per share. Keefe, Bruyette & Woods, A Stifel Company, and Raymond James & Associates, Inc. are serving as joint book running managers for the offering. The Company has granted the underwriters a 30-day option to purchase up to an additional 216,495 shares of common stock, at the public offering price less the underwriting discount, solely to cover over-allotments, if any. The offering is expected to close on or about December 19, 2016, subject to customary closing conditions.
The Company expects to receive net proceeds before expenses of $33,425,000 from the offering (or $38,438,751) if the underwriters exercise their option to purchase additional shares of common stock in full), after deducting the underwriting discount.
A shelf registration statement on Form S-3 (File No. 333-213260) relating to the offering was filed previously with the Securities and Exchange Commission ("SEC") and is effective. A preliminary prospectus supplement related to the offering has been filed with the SEC.
