Trend of Tokenization Series: Security Tokens Offering From Timeless Luxury Group

Before moving on to the core part of this write-up, let’s us just quickly glance at the characteristics of Security Tokens that resembles the conventional financial instruments, like, shares, debentures or units in a collective investment scheme. At times, security tokens are deemed as an alternative to raising money in capital markets through shares or bonds.

Security tokens are identified to be scrutinized by the regulatory perimeter of the FCA as their classification meets the definition of “specified investments” per the state’s Regulated Activities Order and/or “Financial Instruments” regulated by the Markets in Financial Instruments Directive II. “Tokens can be considered transferable securities under MiFID as well as Specified Investments under the RAO.”

For now, Timeless Luxury Group came up with its own security token offering, is an evidence that established ventures are eyeing to the crypto-avenues as an alternative method of fundraising.

Timeless Luxury Group who are in the business of luxury holidays, villas and yachts, formerly issued bonds on the Düsseldorf Stock Exchange. The first bond issuance raised €10 million back in 2013 and raised a further €10 million again in 2017. 

TMLS offers investors the opportunity to participate in the intended development of the Company, by providing a dividend tied to future profits. TMLS holders are entitled to receive 40% of the earnings before taxes, depreciation and amortization (“EBITDA“) per annum from the business segments Timeless Hideaways and Timeless Resorts and 10% of revenues of the Timeless Yachts and Timeless Selection divisions, as well as the planned global franchise concept2, if and when such profits and revenues are earned. In addition, as a bonus, holders of at least 1,000 TMLS will receive a discount of 20% on bookings of Timeless Hideaways or Timeless Resorts.

Michael Gössl, CEO of Timeless, explains: “Raising money using capital markets offers no flexibility, and the rules are very rigid. For bonds, there is the loaned amount, the coupon and the maturity date. Sure, there are slightly different ways to structure bonds, but it’s all a variation on a theme.”
