MOUNTLAKE TERRACE, Wash., Sept. 08, 2017 -- FS Bancorp, Inc. (NASDAQ:FSBW) (the “Company”), the holding company for 1st Security Bank of Washington (the “Bank”), today announced the pricing of an upsized underwritten public offering of 510,638 shares of its common stock at a price to the public of $47.00 per share for gross proceeds of approximately $24.0 million. The size of the offering was increased from the previously announced approximately $20.0 million of common stock. The net proceeds to the Company after deducting underwriting discounts and commissions and estimated offering expenses are expected to be approximately $22.3 million (or approximately $25.7 million if the underwriters exercise their option to purchase additional shares in full). The Company has granted the underwriters a 30-day option to purchase up to an additional 76,596 shares of the Company's common stock to cover over-allotments, if any. Raymond James & Associates, Inc. is serving as bookrunning manager and D.A. Davidson & Co. and FIG Partners, LLC are serving as co-managers. The Company expects to close the transaction, subject to customary conditions, on or about September 12, 2017.
The shares will be issued pursuant to a prospectus supplement filed as a part of a shelf registration statement previously filed with the Securities and Exchange Commission on Form S-3.
The Company intends to use the net proceeds from this offering for general corporate purposes, including contributing to the capital of the Bank to support its lending and investing activities, to support or fund acquisitions of other institutions or branches as and if opportunities for such transactions become available.
