SAN DIEGO, Sept. 05, 2017 -- Kratos Defense & Security Solutions, Inc. (“Kratos”) (Nasdaq:KTOS), announced today that it intends to offer for sale in an underwritten offering 12,500,000 shares of its common stock pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission (the “SEC”). The underwriters will have a 30-day option to purchase up to an additional 1,875,000 shares of common stock from Kratos.
Kratos expects to use the net proceeds from the offering to position itself for projected growth from new and anticipated increased production on under contract programs and expected to be received new programs and contracts, to reduce its indebtedness in order to reduce the Company’s cost of capital and facilitate its long-term strategy, and for general corporate purposes, including potential acquisitions.
J.P. Morgan Securities LLC and Goldman Sachs & Co. LLC are acting as joint book-running managers for the offering.
