WASHINGTON, Feb. 29, 2016 -- The National Association of Corporate Directors (NACD), the advocate for the profession of directorship, today announced the launch of the NACD Director Education Transcript.
Since continuing education can play a critical role in bolstering investors’ confidence in the corporate directors who oversee their holdings, the NACD Director Education Transcript addresses an important need. The NACD Director Education Transcript, a first-of-its-kind service, allows directors to easily record their director-education history and to share a transcript of their completed corporate governance-related courses with investors, boardroom advisors, and internal governance executives. This new, complimentary service automatically populates a director’s transcript with courses completed through NACD—including the director’s NACD Fellowship™ status—and allows directors to self-report programs completed with other organizations.
“Continuing education is critical to a director’s ability to lead with confidence in the boardroom,” said Ray Gilmartin, former chair, president, and CEO of Merck & Co. Inc. and former lead director of Microsoft Corp. and General Mills Inc. “The NACD Director Education Transcript is a convenient, online service that will help corporate directors keep track of the courses they have taken. Ultimately, providing directors with the ability to share such a transcript will simplify the process when general counsels and corporate secretaries collect information about directors’ education and disclose director qualifications in the proxy statement.”
Directors can use their transcripts in several ways:
- Transcripts can be provided to their organizations’ general counsels or corporate secretaries as documentation for preparing annual proxy statements.
- Transcripts can be included as addendums to their résumés when pursuing board positions.
- Transcripts can help directors track their personal education progress against their boards’ director-education requirements.
“The U.S. Securities and Exchange Commission’s (SEC) director-qualification disclosure requirements, rapidly evolving global market forces, and the increasingly public efforts of institutional investors and shareholder activists have put corporate directors under more scrutiny than ever before,” said Ken Daly, NACD CEO. “The NACD Director Education Transcript allows directors to demonstrate their commitment to boardroom excellence and, in turn, bolster stakeholder confidence.”
The NACD Director Education Transcript is a complimentary service available to all corporate directors. The platform can be accessed at http://www.nacdonline.org/Transcript.
